www.simplescripts.ca (the “Website”, “SimpleScripts”) is owned and operated by SimpleScripts, a Canadian technology platform that connects Customers with licensed pharmacies in Canada (“Partner Pharmacies”). SimpleScripts is a referral and service technology provider that facilitates the processing of orders, communications, and service requests between the Customer and the Partner Pharmacy. The Partner Pharmacy is the authorized provider responsible for dispensing, packaging, and supplying medications and related products (“Products”). By placing an order (“Order”) through the Website, the Customer agrees to the following Terms of Sale (“Terms”). Customers acknowledge that medications and products purchased are those approved for sale within Canada. These Terms may be amended from time to time as described in Section 17 below.
1. Eligibility
The Customer represents and warrants that they are at least 18 years of age, or the age of majority in their jurisdiction of residence, and have the legal capacity to enter into a binding agreement. SimpleScripts reserves the right to request proof of age or identity and to refuse service where eligibility cannot be confirmed.
2. Authorization and Agency
By submitting an Order, the Customer authorizes the Partner Pharmacy and SimpleScripts to act as the Customer’s agent for purposes including, but not limited to:
- Receiving, handling, and processing prescriptions
- Communicating with healthcare professionals on the Customer’s behalf
- Compiling and sharing necessary personal and health information as required to fulfill the Order
This authorization remains valid until revoked by the Customer in writing.
3. Prescription Requirement
If any ordered Product requires a valid prescription under Canadian law, the Customer must provide a legitimate and current prescription issued by a licensed prescriber. Prescriptions may be submitted directly by the Customer, or transmitted by the prescribing practitioner via secure fax, electronic transmission, or other acceptable methods as required by law.
4. Recent Medical Evaluation
For prescription Products, the Customer certifies that they have undergone a personal medical examination with a licensed healthcare provider within the previous 12 months and were issued the prescription in relation to that examination. SimpleScripts and the Partner Pharmacy may, at their discretion, request supporting documentation and may decline to fulfill an Order where this cannot be reasonably confirmed.
5. No Medical Advice
SimpleScripts is a technology and referral platform. It does not practice medicine, does not provide medical advice, and does not establish a doctor-patient relationship with the Customer. Nothing on the Website or in any communication from SimpleScripts should be interpreted as medical advice. All clinical decisions, including prescribing decisions, remain solely those of the Customer’s licensed prescriber and the dispensing pharmacist at the Partner Pharmacy. Customers should consult a qualified healthcare professional with any questions regarding their medical condition or treatment.
6. Privacy
Customers must provide accurate and complete personal, medical, and contact information. By placing an Order, the Customer consents to the collection, use, and disclosure of their personal information as described in the SimpleScripts Privacy Policy. The Customer agrees to review the current Terms upon submitting any Order.
7. Products and Services
SimpleScripts may modify, update, or discontinue Products, features, or services offered through the Website without prior notice.
8. Orders, Prices & Payment
All prices are subject to change without notice. Payment methods may include credit/debit card, electronic payment services, bank transfer, money order, or other available methods. Orders will not be processed or released until full payment is cleared.
9. Taxes
Customers are responsible for all applicable taxes, duties, or government charges associated with their purchase and delivery.
10. Shipping
Customers acknowledge that Products are dispensed by a licensed Partner Pharmacy located in Canada. As the Customer’s authorized agent, the Partner Pharmacy will arrange delivery to the shipping address specified by the Customer. Delivery times are estimates only. SimpleScripts is not responsible for delays in delivery, courier issues, or damage caused by late or failed shipments, except where such delay or damage arises from SimpleScripts’ gross negligence or willful misconduct.
11. Export, Import, and Cross-Border Compliance
All Products are dispensed within Canada by a licensed Partner Pharmacy in accordance with Canadian law. Customers located outside Canada, including in the United States, are solely responsible for determining whether importation of the Products into their country or state of residence is lawful, including compliance with any applicable personal importation policies, quantity limits, customs regulations, or drug scheduling rules in their jurisdiction. SimpleScripts and the Partner Pharmacy make no representation or guarantee that any Order will clear customs, that any regulatory authority (including without limitation the US Food and Drug Administration, US Customs and Border Protection, or the US Drug Enforcement Administration) will permit entry of the Product, or that the Product is approved for sale or use in the Customer’s home jurisdiction. Products may be delayed, seized, returned, or destroyed by customs or regulatory authorities. The Customer acknowledges that regulatory enforcement policies regarding personal drug importation may change without notice and agrees to bear all risk associated with cross-border importation of the Products.
12. Return Policy
Due to pharmacy regulations and public safety requirements, prescription Products cannot be returned. All sales are final. Customers should consult with a healthcare professional or licensed pharmacist before placing an Order if they have concerns or questions.
13. Disclaimer of Warranties
Except as expressly stated in these Terms, the Website and all Products and services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including without limitation implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by applicable law. SimpleScripts does not warrant that the Website will be uninterrupted, secure, or error-free.
14. Limitation of Liability
To the fullest extent permitted by applicable law, SimpleScripts’ total liability arising out of or relating to these Terms, the Website, or any Order shall not exceed the amount paid by the Customer for the Order giving rise to the claim. In no event shall SimpleScripts be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, or goodwill, arising out of or relating to these Terms, the Website, or any Product, even if advised of the possibility of such damages. Nothing in this section is intended to exclude or limit liability that cannot be excluded or limited under applicable law.
15. Indemnification
The Customer agrees to indemnify, defend, and hold harmless SimpleScripts, its Partner Pharmacies, and their respective officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) the Customer’s breach of these Terms; (b) the Customer’s provision of false, inaccurate, or incomplete information; (c) the Customer’s violation of any applicable law, including import or customs law; or (d) the Customer’s misuse of any Product.
16. Data Security
SimpleScripts implements reasonable administrative, technical, and physical safeguards designed to protect Customer personal and health information. However, no method of transmission or storage is completely secure, and SimpleScripts cannot guarantee absolute security. In the event of a data breach, SimpleScripts will act in accordance with applicable privacy and breach notification laws.
17. Changes to These Terms
SimpleScripts may update these Terms from time to time. Material changes will be posted on the Website with an updated effective date, and, where required by applicable law, notice will be provided to the Customer. Continued use of the Website or placement of an Order after changes take effect constitutes acceptance of the revised Terms.
18. Termination and Suspension
SimpleScripts reserves the right to suspend or terminate a Customer’s access to the Website or refuse to process an Order at its discretion, including in cases of suspected fraud, misuse, provision of false information, chargeback abuse, or suspected diversion of Products, with or without notice.
19. Force Majeure
SimpleScripts and the Partner Pharmacy shall not be liable for any failure or delay in performance resulting from causes beyond their reasonable control, including but not limited to acts of God, natural disaster, war, terrorism, labour disputes, carrier disruptions, customs delays or seizures, or governmental action.
20. Export and Import Compliance: Governing Regulatory Framework
Customers acknowledge that all Products are manufactured, approved, and dispensed in accordance with Canadian federal and provincial regulations, and that regulatory approval in Canada does not constitute approval or endorsement by any foreign regulatory authority.
21. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein.
22. Entire Agreement
These Terms constitute the entire agreement between the Customer, SimpleScripts, and the Partner Pharmacy regarding any Product or service, and supersede any other written or verbal terms unless expressly agreed in writing.
23. Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining terms shall remain in full effect.
24. Knowledge and Consent
By submitting an Order, the Customer confirms that they:
- Have read and understand these Terms
- Enter the agreement freely and without coercion
- Have had adequate opportunity to seek independent legal or professional advice
- Recognize that the Terms are accessible online 24/7
